3. Posting of Videos. a. If Sponsor determines, based on its preliminary, non-binding review, that entry/video is eligible, video will be posted on Website. Sponsor is in no way obligated to post any video and its failure to do so will not result in any liability. Website visitors can vote for their favorite videos, with the results of such public voting determining the prize winner (see Rule 4 below). b. Should Sponsor elect to post your video, you agree that:

Entrant grants to Sponsor and its designees the exclusive, irrevocable, perpetual, worldwide, royalty-free, transferable, sublicenseable right and license to use, perform, exhibit, reproduce and/or otherwise exploit the video submitted as a Contest entry in any manner and in any and all distribution channels, venues or media now known or hereafter devised, without further notice or any compensation to entrant. Entrant waives any “Moral Right of Authors” (Droit Moral) in the video. Entrant further agrees, upon Sponsor’s request and without compensation, to sign any and all necessary and appropriate documents so as to effect, perfect or record such license rights. e. Entrant further expressly acknowledges that Sponsor does not owe him/her a duty of confidence (or fiduciary duty or the like) with regard to his/her video and that Sponsor has wide access to ideas, stories, designs and other literary/artistic materials submitted to it from outside sources or being developed by its own employees and that such ideas/stories/designs/literary/artistic materials may be competitive with, similar to (or even identical to) the video submitted by entrant and that Sponsor shall have no liability to entrant or any third party in conjunction therewith. 4. Public Voting/Determination of Prize Winner. a. The public voting period is scheduled to begin 1/18/2012 at 12:00 a.m. PT and end 1/25/2012 at 11:59 p.m. PT; but, Sponsor reserves the right to modify the public voting period by posting a notice to such effect on the Website. b. The listing of the total number of votes received by a given video is for informational purposes only and may be modified by Sponsor at any time for any reason. Sponsor is in no way bound by such listing of votes received. c. Use of any means to manipulate or undermine the integrity of the public voting shall result in disqualification and/or other sanctions imposed by Sponsor in its sole discretion. In addition, all such “tainted” votes will be discounted by Sponsor in its sole discretion. d. The entrant whose video receives the highest total number of votes during the public voting period (as tabulated by Sponsor) is the potential prize winner. In the event of a tie, the potential prize winner will be the entrant, among the tied entrants, whose entry received the higher/highest total number of votes during the last (3) days of the public voting period. The person who is initially determined to be the potential prize winner will be notified by e-mail, phone or mail (in Sponsor’s sole discretion) on or about 1/25/2012. e. Potential winner must complete, sign and return an affidavit of eligibility, a liability release and a publicity release (where lawful) within indicated time period. In the event of noncompliance with this requirement or if the potential prize winner cannot be contacted, is ineligible or is otherwise not in compliance with these Official Rules, he/she will be disqualified and an alternate winner selected (i.e., the entrant whose video received the next highest total number of votes after that of the disqualified potential winner.) 5. Prize/Odds of Winning. a. The Contest Prize is a trip for the winner to the Wedding and Portrait Photographers International Convention and Trade Show in Las Vegas, 2/19/2012 – 2/23/2012. Trip consists of roundtrip coach air travel from major commercial airport near winner’s residence to Las Vegas; 5 days/4 nights hotel accommodations (standard room); ground transportation between airport and hotel in Las Vegas; and a full registration pass to the Show. Approx. Retail Value: $2000.00. If actual prize value is less than $2000.00, winner will not receive the difference in cash. Odds of winning depend on the number of entries/videos submitted and the popularity of entrant’s video compared to those submitted by other entrants. b. Prize may also include publication of winner’s video (or photos or excerpts therefrom) on-line and/or in other media, but such publication is NOT guaranteed nor will Sponsor have any liability in conjunction with the publication (or non-publication) of the video. c. Trip is subject to availability and other restrictions. Winner must be able to travel so as to attend Show on indicated dates; if winner is unavailable for any reason, prize will be forfeited and an alternate winner selected as per Rule 4. Winner must travel on itinerary as prescribed by Sponsor. Winner will not receive any frequent flier miles, awards points or other perquisites in conjunction with trip. If winner lives within approximately 150 miles of Las Vegas (as determined by Sponsor in its sole discretion), winner will receive ground transportation in lieu of air travel and will not receive any substitute prize or compensation. d. All unspecified expenses in conjunction with acceptance and use of Prize as well as all taxes on prize are winner’s sole responsibility. Winner will be issued a 1099 IRS Tax Form reflecting fair market value of the prize. e. Prize cannot be transferred. No prize substitution (or cash equivalent of prize) is allowed except by Sponsor in its sole discretion for prize of comparable value. Award of prize is subject to employer’s written company policy regarding employees’ receipt of gifts/prizes/awards from third parties (if applicable). f. Prize travel is for winner alone; if winner wishes to have a guest accompany him/her on trip, all costs in conjunction with such guest are winner’s sole responsibility (this includes modification of itinerary to account for travel guest) and guest must be 18 or over and sign a Liability Release prior to issuance of travel documents and comply with other travel restrictions imposed by Sponsor. 6. Limitations of Liability. a. Sponsor reserves the right, at its sole discretion, to disqualify any individual it finds, in its sole discretion, to be tampering with the Contest. Disqualification shall not represent Sponsor’s sole available remedy in the event of such conduct. Sponsor’s failure to enforce any provision of these Official Rules shall not constitute a waiver of such provision. b. By participating in Contest, entrant releases and agrees to hold harmless Sponsor, its parent companies, affiliates, divisions, subsidiaries, and the directors, officers, agents, shareholders, representatives, employees, successors and assigns of any of the above entities from any and all liability associated (directly or indirectly, in whole or in part) with entrant’s participation in the Contest, entrant’s participation in any Contest-related activity and receipt, acceptance, possession or use/misuse of the prize. By accepting prize, where permitted by law, winner grants Sponsor and its designees the right to print, publish, broadcast and use his/her name, portrait, picture, voice, likeness and biographical information for advertising, trade and promotional purposes without additional compensation or notice. c. No responsibility is assumed by Sponsor for lost, late, incomplete, irregular, damaged, garbled, corrupted, misdirected or illegible entries/videos or votes. Sponsor further assumes no responsibility for (a) any computer, telephone, cable, satellite, network, electronic or Internet hardware or software malfunctions, failures, connections, availability or garbled or jumbled transmissions, service provider/Internet/web site/use net accessibility or availability, traffic congestion or unauthorized human intervention; or (b) any incorrect, incomplete or inaccurate information, whether caused by web site users or by any of the equipment or programming associated with or utilized in the Contest; or (c) any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to any web site or e-mail address/account. Sponsor is not responsible for injury or damage to participants’ or any other person’s computer related to or resulting from participating in this Contest or downloading/uploading materials from/to any web site or e-mail address/account. d. If, the Contest (or any part thereof) is not capable of running as planned by due to circumstances beyond Sponsor’s control (e.g., computer virus, tampering, fraud, natural cataclysm, riot, strike), Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Contest and conduct the Contest and select the prize winner in a manner which is fair, equitable and in accordance with these Official Rules, as determined by Sponsor in its sole discretion. Notice of such action by Sponsor will be posted on the Website. e. To the fullest extent permitted by law, entrants agree that (a) any action relating to the Contest must be brought individually (not as part of a class action) in the courts of the State of New York/County of New York or U.S. District Court for the Southern District of New York and consent to the personal jurisdiction of such courts and waive any right of change of venue; and (b) his/her recovery in such action shall be limited to actual out-of-pocket costs incurred to participate in the Contest, with all other damages, relief and remedies being expressly waived. In adjudicating any such action, the court shall apply the laws of the State of New York, without giving effect to its conflict of law/choice of law rules or those of any other jurisdiction. 7.
